These Terms of Use (“Terms”) govern your access to and use of the website located at https://sharphue.com (the “Site”), which is operated by Sharp Hue, Inc., an Arkansas S-Corporation (“Sharp Hue,” “we,” “our,” or “us”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.

1. Business Use and Eligibility

The Site and its content are intended solely for use by businesses and organizations located in the United States.

By using the Site, you represent and warrant that:

  • You are accessing the Site on behalf of a business or organization; and
  • You have the authority to bind that business or organization to these Terms; and
  • You and your organization are located in the United States.

If you do not meet these requirements, you may not use the Site.

2. Informational and Marketing Purpose Only

The Site is provided for general informational and marketing purposes only. The content on the Site describes Sharp Hue’s services and capabilities and does not:

  • Constitute professional advice;
  • Create any client, customer, or other contractual relationship between you and Sharp Hue; or
  • Serve as an offer to provide services in any jurisdiction where such an offer would be unlawful.

Any service engagement with Sharp Hue will be governed by a separate written agreement.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page.

Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Terms. We may also modify, suspend, or discontinue any part of the Site at any time without notice.

4. Use of the Site and Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, or local law or regulation.
  • Access or use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site.

  • Reverse engineer, decompile, or otherwise attempt to obtain the source code of any portion of the Site.
  • Use the Site in any manner that could damage the reputation or goodwill of Sharp Hue.

We reserve the right, in our sole discretion, to restrict or terminate your access to the Site if we believe you have violated these Terms.

5. Intellectual Property Rights

The Site and all content, features, and functionality on the Site—including but not limited to text, graphics, designs, logos, icons, images, audio, video, software, and the arrangement thereof (collectively, the “Content”)—are owned by Sharp Hue, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms or by Sharp Hue in writing, you may not:

  • Copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content; or
  • Use any trademarks, service marks, or trade names of Sharp Hue without our prior written consent.

You may temporarily download and store one or more pages of the Site for viewing on a personal computer or device for your internal business purposes, provided that you do not remove or alter any copyright, trademark, or other proprietary rights notices.

6. No Accounts; No User-Generated Content

The Site does not provide user accounts or login areas. You may not create an account or profile on the Site.

The Site does not allow users to post or upload content such as comments, reviews, files, or media. You are responsible for any information you choose to submit to us through our contact forms or other communication methods.

7. Third-Party Services and Tools

The Site may use or integrate third-party services and tools, including but not limited to:

  • Google Analytics – for traffic and usage analytics;
  • Voiceflow – for chatbot functionality;
  • Fillout – for contact and inquiry forms.

TO THE FULLEST EXTENT PERMITTED BY LAW, SHARP HUE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT; AND
  • TITLE.

We do not warrant that:

  • The Site will be uninterrupted, secure, or error-free;
  • Defects will be corrected; or
  • The Site or the servers that make it available are free of viruses or other harmful components.

Any reliance you place on the Site or the Content is strictly at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SHARP HUE, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE; OR
  • ANY CONTENT ON THE SITE,

INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF FORESEEABLE OR IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT ANY LIABILITY IS FOUND NOT TO BE EXCLUDED, THE TOTAL AGGREGATE LIABILITY OF SHARP HUE, INC. FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sharp Hue, Inc., and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms; or
  • Your misuse of the Site or Content.

12. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Arkansas, without giving effect to any choice or conflict of law provision or rule.

You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Site will be instituted exclusively in the state or federal courts located in Arkansas, and you hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

13. Termination

We may, in our sole discretion, suspend or terminate your access to all or part of the Site at any time and for any reason, without notice.

The provisions of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive any termination.

14. Entire Agreement; Severability; Waiver

These Terms constitute the entire agreement between you and Sharp Hue regarding your use of the Site and supersede any prior and contemporaneous understandings, agreements, representations, and warranties.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No waiver by Sharp Hue of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
